We act as external legal counsels for various Swiss SMEs (unlisted companies), foreign enterprises (particularly international groups operating in Switzerland) as well as Swiss associations and foundations.

In this function, we support our clients right across the following areas of law: merger & acquisitions, restructuring, contract drafting (e.g. share purchase agreements, shareholders' agreements, joint venture agreements, loan agreements, pledge agreements, employment agreements and rental agreements), corporate housekeeping, formation, reorganisation and liquidation.

Also, we act as board members of Swiss corporations, associations and foundations.

Advising a Swiss corporation on the formation of a joint venture with a Chinese public company, including drafting/negotiating the JV agreement and restructuring the Swiss corporation in the run-up to the transaction.
Advising a German group of companies on multiple private equity investments in Swiss (start-up) companies, including drafting/negotiating the Investment and Shareholders' Agreement.
Providing advice to a Swiss subsidiary of a German group of companies on the establishment of a zero balancing cash pool, including drafting the corporate documents.
Advising a Swiss group of companies on the acquisition of a division of a German group of companies (asset deal), including negotiating the asset purchase agreement and coordinating the (international) legal team for the buyer.
Supporting a Swiss group of companies with the sale of its German subsidiary (share deal), including drafting/negotiating the share purchase agreement.
